These Supplier Terms govern participation on the Runway Relay platform by influencers, designers, brands, and wardrobe partners (“Suppliers”) who submit garments for rental through Runway Relay.
By submitting garments to Runway Relay, Suppliers agree to the terms outlined below.
a. Runway Relay operates as a managed fashion rental platform that:
b. Garment ownership always remains with the Supplier unless otherwise agreed.
c. Suppliers retain full ownership of all garments submitted to the platform at all times. Runway Relay may hold garments in custody for purposes including, but not limited to, storage, photography, cleaning, logistics, and circulation between rentals. Risk allocation during custody, including damage, loss, or handling incidents, is governed by the platform’s policies, including the Damage & Loss Policy, and the Supplier Participation Agreement executed at onboarding.

Suppliers agree that garments may be:

Suppliers may request garment return subject to reasonable notice.
Runway Relay provides professional cleaning after each rental cycle.
Suppliers agree that:
Runway Relay aims to preserve garment condition through controlled circulation.
Suppliers agree that approved garments remain available for rental circulation while listed on the platform unless removal is requested.
Temporary withdrawal requests may be accommodated where operationally feasible.
Suppliers may request removal of garments from the platform.
Removal requests may require reasonable processing time if garments are:

Suppliers agree that garments submitted must be:

Suppliers remain responsible for confirming garment authenticity.
Runway Relay may conduct inspection procedures but authenticity responsibility remains with the Supplier.
Runway Relay reserves the right to remove garments where authenticity concerns arise.
Runway Relay manages garment circulation carefully.
If damage occurs during rental use:

Repair or replacement handling will follow internal platform procedures.
Where applicable, insurance processes may apply.
Supplier earnings are calculated after:

Continued participation confirms acceptance of updated Terms.
a. Either party may terminate a Supplier's participation in the Runway Relay platform by providing thirty (30) calendar days' written notice to the other party. Notice by the Supplier must be submitted to hello@runwayrelay.net. Notice by Runway Relay will be delivered to the Supplier's registered email address.
b. Runway Relay may terminate a Supplier's participation with immediate effect, without prior notice, in the following circumstances: (a) the Supplier submits counterfeit, non-authentic, or misrepresented garments; (b) the Supplier provides materially false information during onboarding or at any time during participation; (c) the Supplier's conduct causes reputational, legal, or financial harm to Runway Relay or its users; (d) the Supplier repeatedly breaches these Supplier Terms after written warning; or (e) Runway Relay is required to do so by applicable law or regulatory direction.
c. On termination of participation for any reason: (a) Runway Relay will return all garments belonging to the Supplier within fourteen (14) business days, or within five (5) business days of completion of any active rental at the time of termination, whichever is later; (b) Runway Relay will process final payout of all earned and cleared supplier commissions within the standard payout cycle following the last completed rental; (c) any commissions relating to garments returned damaged or subject to an unresolved dispute will be held pending resolution in accordance with the Payments & Wallet Policy; (d) listing rights and marketing permissions granted to Runway Relay under Clause 14 will cease upon return of garments, except that Runway Relay may retain existing published content for a reasonable archival transition period not exceeding thirty (30) days.
d. Where a Supplier's garments are on active rental at the time a termination notice is given, Runway Relay will honour those rentals to completion before returning the relevant garments. The Supplier's earnings for those completed rentals will be paid in the final payout.
a. Where a garment suffers damage during a rental cycle that is assessed as beyond normal wear and tear, Runway Relay will notify the Supplier within five (5) business days of the post-return inspection, providing a summary of the damage assessment outcome.
b. Where Runway Relay recovers repair or replacement costs from a renter in connection with damage to a Supplier's garment, Runway Relay will pass through to the Supplier a proportionate share of the net recovered amount, after deduction of Runway Relay's administrative and coordination costs, as agreed in the Onboarding Letter or as otherwise notified in writing.
c. Where damage to a garment is determined by Runway Relay's internal inspection to have resulted from platform handling, storage, or cleaning processes rather than from renter use Runway Relay will compensate the Supplier for the reasonable repair cost or, where the garment is irreparably damaged, for an agreed replacement value, within thirty (30) days of the damage determination.
d. Where a Supplier disputes Runway Relay's damage assessment, the Supplier may submit a written objection within ten (10) business days of receiving the damage notification. Runway Relay will review and respond within ten (10) business days of receipt. Where the dispute is not resolved, the matter may be escalated in accordance with Clause 21.
a. These Supplier Terms and all disputes arising from or connected to Supplier participation on the Runway Relay platform are governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai.
b. The parties submit to the exclusive jurisdiction of the courts of Dubai, UAE in respect of any dispute arising under or in connection with these Supplier Terms.
c. Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute by direct negotiation within twenty-one (21) days of a written dispute notice being submitted. If the dispute is not resolved within that period, either party may proceed to formal legal proceedings.
a. Participation on the Runway Relay platform as a Supplier is conditional on execution of a Supplier Participation Agreement, which incorporates these Supplier Terms by reference and sets out the Supplier's specific commission rate, garment category, onboarding conditions, and any agreed deviations from standard terms.
b. The Supplier Participation Agreement may be executed electronically in accordance with the UAE Electronic Transactions and Trust Services Law (Federal Decree-Law No. 46 of 2021). A digitally signed or electronically confirmed agreement shall have the same legal force as a physically signed document.
c. In the event of any conflict between the Supplier Participation Agreement and these Supplier Terms, the terms of the Supplier Participation Agreement shall prevail to the extent of the conflict.
